The Parties mutually agree as follows:

1 The scope of the agreement1协议范围1.1 The Data Processor will be processing personal data on behalf of the STULZ for the purpose of [ICP filing and PSB filing of STULZ China offical website in China]. The locations and receiving methods of personal data of The Data Processor and its sub-processor are【 】, The Data Processor shall immediay delete all the personal data agreed in this Agreement after completing the above filing, and shall not store it. The Data Processor agrees not to process any personal data for other purposes and only in accordance with this Agreement.
1.1数据处理员将代表世图兹处理个人数据用于[世图兹中国官网在中国的ICP备案和PSB备案]。数据处理员及其外包商接收个人数据的地点和方式为【 】，数据处理员完成上述备案后立即删除本协议约定的全部个人数据，不得存储。数据处理员承诺不会出于其它目的来处理任何个人数据，仅按照此协议规定处理个人数据。
1.2 The Data Processor will be processing the following type of personal data related with the following data subject under this Agreement:

1份Marc Brean 先生的护照扫描件及护照上的个人信息
One scan version of Mr. Marc Brean’s passport and the personal data on the passport
1份伍聪先生的身份证扫描件及身份证上的个人信息
One scan version of Mr. Peter Wu’s ID card and the personal data on the ID Card
1份鲍少波先生的身份证扫描件及身份证上的个人信息
One scan version of Mr. Eric Bao’s ID card and the personal data on the ID Card
2 Instructions, security etc. 2指令、安全等2.1 The Data Processor shall only process personal data on behalf of the STULZ and only on instruction from the STULZ.
2.1数据处理员应仅代表世图兹处理个人数据，且仅遵守世图兹发出的指令。
2.2 The Data Processor shall implement appropriate technical and organizational security measures to protect the personal data against accidental or unlawful destruction, loss or alteration and against unauthorized disclosure, abuse or other conduct in violation of the provisions of (EU) 2016/679 The General Data Protection Regulation or Personal Information Protection Law of the People’s Republic of China.
2.2数据处理员应当实施适当的技术安全和组织安全措施，以防止个人数据遭受意外或非法破坏、丢失或篡改、未经授权的数据泄漏、滥用及其它违反欧盟2016/679号通用数据保护条例或中华人民共和国个人信息保护法（上述指令、法律、条例，以下统称为“数据保护法规”）的行为。
2.3 The Data Processor will ensure that it and its sub-processors involved in the processing of personal data at all times comply with the minimum security requirements set out in Article 2.2 of this Agreement.]
2.3[数据处理员应确保其及其参与个人数据处理的外包商始终满足本协议第2.2条中规定的最低安全需求。
2.4 The Data Processor will ensure that the employees processing personal data on its behalf have committed themselves to the obligation of confidentiality regarding any personal data processed under this Agreement. The obligation of confidentiality will continue after the termination of the Agreement.
2.4数据处理员将确保代表其进行个人数据处理的员工承诺履行本协议中对于个人数据保密的义务。 本协议终止后上述保密义务继续有效。
2.5 The Data Processor shall keep documentation of the categories of personal data and the processing hereof. The documentation shall be available to the STULZ upon written request.
2.5数据处理员应当保留个人数据类别及处理文档。根据世图兹的书面要求，数据处理员应当向世图兹提供此类文档。
2.6 The Data Processor has verified and confirmed that the personal data protection policies and regulations of its location and the location of the sub-processor (if any) have no impact on their complying with the terms of this Agreement.
数据处理员已核实并确认其所在地及外包商（如有）所在地的个人信息保护政策法规对遵守本协议条款无任何影响。
3 Sub-processing3外包商3.1 Where the Data Processor sub-contracts its obligations, it shall do so only by way of a written agreement with the sub-processor which imposes the same obligations on the sub-processor as are imposed on the Data Processor under this Agreement. Where the sub-processor fails to fulfill its data protection obligations under such written agreement the Data Processor shall remain fully liable to the STULZ for the performance of the sub-processor’s obligations.
3.1当数据处理员转包其数据处理义务时，其仅能以与外包商达成书面协议的方式进行转包。转包书面协议为外包商约定的义务应与本协议约定的数据处理员义务相同。若外包商无法按照此类书面协议约定完全履行数据保护义务，则数据处理员仍然应当为外包商的义务履行情况向世图兹承担全部责任。

4 Data breach notification 4数据保护违规事件的通知4.1 The Data Processor shall without undue delay and always within a timeframe allowing the STULZ to comply with the Data Protection Legislation in writing notify the STULZ in case of any identified or potential breach of personal data processed under the Agreement. The notification shall include any other information required in order for the STULZ to comply with the Data Protection Legislation, including information about the nature of the breach and measurements taken to control it.
4.1若发现个人数据处理行为违背此协议或者存在这种可能，数据处理员应当立即在一定时限内以书面形式通知世图兹，以便其遵守数据保护法规。此通知应当包括世图兹所要求的所有信息，以便其满足数据保护法规的规定，包括个人数据保护违规事件的性质，以及为控制事件带来的不利影响而采取的措施。
5 Liability5赔偿责任5.1 The Data Processor shall be liable towards the STULZ for breach of the data protection obligations set out in this Agreement and indemnify the STULZ against all losses. If the Data Processor or its sub-processors violate the provisions of this Agreement, the Data Processor shall pay RMB 100,000 to STULZ as liquidated damages, if such liquidated damages are insufficient to compensate all claims, expenses, fines, losses and liabilities borne by STULZ and the data subject, the Data Processor shall make up the difference.
5.1数据处理员将就任何由于数据处理员或其外包商未能履行本数据处理协议约定的数据保护义务承担全部责任，使世图兹免受损害。若数据处理员或其外包商违反本协议约定，数据处理员应向世图兹支付人民币拾万元整作为违约金，若违约金不足以赔偿世图兹及数据主体因此而遭受的所有索赔、费用、罚款、损失和责任的，数据处理员应补足。
6 Termination6终止6.1 This Agreement shall come into force at the date of signing and can be terminated by STULZ upon one (1) month’s written notice. Notwithstanding termination, the provisions in this Agreement shall remain in force as long as the Data Processor processes personal data of the STULZ.
6.1本协议自签署之日起生效，世图兹提前一（1）个月书面通知对方即可终止本协议。尽管协议终止，只要数据处理员仍然持有世图兹提供的个人数据，则此协议中的约定仍然有效。
6.2 Upon termination of the Agreement, the Data Processor must return all material containing personal data, or upon request from the STULZ provide documentation for the deletion of the personal data.
6.2此协议终止后，数据处理员应向世图兹返还所有包含个人数据的资料，或者按照世图兹的要求提供个人数据已删除销毁的证明文件。
7 Choice of law and venue7协议管辖7.1 Any dispute or claim arising out of or in connection with this Agreement shall be settled at the People’s Court of the place where STULZ is registered through litigation and be governed by the laws of Denmark.
7.1任何产生于此协议或与此协议有关的争议或索赔，应当适用中华人民共和国法律，由世图兹注册地有管辖权的人民法院管辖。
8 Signature, copies etc.8签名、副本等。8.1 Each Party warrants that it has the authority to enter into this Agreement.
8.1各方保证其均有权签订此协议。
8.2 This Agreement is executed in 2 (two) original versions, each party keep one version with the same legal effect. This Agreement is made in English and Chinese, where the different language versions are not consistent with each other, the Chinese version shall prevail.
8.2此协议一式贰（2）份，双方各执一份，具有同等法律效力。本协议以中英文起草，如果不同语言版本相互不一致的，应当以中文版本为准。
